Thanks for using our products and Services ("Services"). The Services are provided by NetsSys Interactive Inc. ("NetSys"), located in Queen Creek, AZ USA.

NetSys Interactive Inc. (netsysinteractive.com) is a web hosting, web design, software development (custom programming), graphic design, and Internet technology consulting company.

As part of that endeavor and our commitment to customer service and transparency, we'll always be open and honest about what our terms and conditions are.

By using our Services, you are agreeing to these terms. Please read them thoroughly and carefully.

1. Services

By using any of our Services including, but not limited to websites, email, stand-alone Services, etc., you agree to follow all AUP (Acceptable Use Policies) outlined in this document and those generally accepted in the industry. If there is ever a conflict between them, the policy stated here will be in the superior position. In addition, any policy clarified by us in writing will always supersede all other conflicts with industry AUP, policies outlined here, or any other form of communication.

In general, you agree not to misuse our Services in any form. You agree to use our products and Services in the manner for which they were intended or that we further stipulate or require. You agree not to abuse or use our products or Services in any manner that causes harm or interferes with them in any way. Things like sending unsolicited bulk emails (spam) to or through our system are prohibited. In addition, the following are prohibited too: Unauthorized attempts at hacking websites (Authorized security probes/testing are allowed if agreed in writing in advance), any type of criminal activity as defined by United States, state level, county level, or local level within the United States or it's territories, violating international laws that would go against any United States treaties or agreements, WC3 rules and acceptable conventions, or other industry standards, and any type of harassment, unethical behavior, or acts intended or unintended that are harmful to us, our brand, our technology, our users, our customers, or our partners in any form.

2. Accounts

When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account or our Services.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Bills are sent between the 15th and 20th of each month and are due on the first day of the next month. An account is considered past due if payment is not made by 12 am AZ time (AZ does not observe DST) on the 2nd day of the month. Accounts that are past due will be assessed a late fee of $10 minimum or 10% of the balance due, whichever is greater. If you are having trouble making a payment, we strongly advise contacting us before the due date to see if alternative arrangements can be made. Please be aware that exceptions are rare and are made on a case-by-case basis.

3. Links to other websites

Our site or Services may contain links to third-party websites or Services that are not owned or controlled by NetSys Interactive Inc.

NetSys Interactive Inc. has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or Services. You further acknowledge and agree that NetSys Interactive Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or Services available on or through any such web sites or Services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or Services that you visit.

4. Suspensions, Termination, & Outages

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. For non-paid accounts that wish to terminate the account, you may simply discontinue using the Service. For paid accounts, we require written notice via email before the bill's due date. Any termination initiated on or after the bill date will be effective for the next billing cycle.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to further clarify or expand these restrictions at any time for any reason. Furthermore, failure to comply with any of the rules outlined here may result in immediate or future suspension or termination of your access, use, or participation on any of our website properties including both internal, secondary Services & sites, customer sites, and portals, or any non Internet products and Services.

We also reserve the right to suspend any account we believe is violating these rules and requirements while we investigate further.

5. Limited Liability

You are not entitled to any type of damages or reimbursement for any losses or downtime as a result of enforcing these policies or for any data center outages, service interruptions, network outages, or any downtime for any reason. We reserve the right to make exceptions and provide compensation on a case-by-case basis as we see fit. Exceptions should not be considered a change in policy or precedent for similar or the same situation in the future.

We take security very seriously and make every attempt to protect you, your experience on the platform, and your data within our means, but you should be aware that there is always a risk associated with every Internet website, and NetSys Interactive Inc. is no exception. Our products and services are provided "as is", and we make no guarantees that our servers will always be up, and secure, without errors, flaws, or slowdowns in page or service delivery, that offers provided by customers or affiliates are legal, legitimate, or enforceable. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

While we attempt to prevent customers/users from using/registering offensive, obscene, and unlawful account names, we can not guarantee that users will not find a way around those measures. In addition, we can not be responsible for actions committed by individuals or businesses that are considered obscene, offensive, or unlawful. Furthermore, language differences leave open the possibility that a word or phrase that is perfectly acceptable in one country or region, may not be in another.

NetSys Interactive Inc. is not responsible/liable for any lost information, content, data, missed deals/offers, lowered/lost profits, costs, lost revenue, damages (punitive or incidental) through the use of our service, accepting offers or using services through any manner associated with NetSys Interactive Inc., even if we have been advised of the possibility of such damages. Our total liability (aggregate) arising out of these terms of service or NetSys Interactive Inc. products shall not exceed the total of one month of your web hosting base pricing.

6. Governing law

Using our products or Services while following the AUP grants you a limited-use license, but does not grant you any ownership, intellectual rights, or resell rights unless specifically stated in writing on a case-by-case and user-by-user basis. Rights granted to one individual or entity do not pass through to others unless specifically spelled out in our agreement with the individual or entity.

These terms do not grant you the right to use any branding or logos used in our Services. Don't remove, obscure, or alter any legal notices displayed in or along with our Services.

Anyone attempting to gather/use any information designated for internal use only will violate our terms of service and possibly will be subject to both civil and criminal prosecution. We reserve the right to block access to features, disable accounts, contact law enforcement, or utilize arbitration or traditional courts depending on the severity of the violation and the potential costs involved. Furthermore, scraping or harvesting any data from NetSys Interactive Inc., its subsidiaries, partners, or clients is forbidden and a violation that may result in legal action against you.

Anyone found to violate our terms of service will be subject to both civil and criminal prosecution in a jurisdiction of our choosing, without regard to its conflict of law provisions.

These Terms of Service are non-transferable and may be supplemented with additional Terms when utilizing a product or service that has additional Terms. Any additional Terms will be spelled out in writing by us and required to be accepted at the time the customer chooses to utilize a product, service, etc, that requires additional Terms.

These Terms of Service do not confer any third-party beneficiary rights. All of NetSys Interactive Inc.'s rights and obligations under these Terms of Service are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

If any portion of these Terms of Service is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms of Service, it will not be considered a waiver. Any amendment to or waiver of these Terms of Service must be made in writing and signed by an authorized party within NetSys Interactive Inc.

7. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is a material change we will try to provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

9. Community Standards

NetSys Interactive Inc. requires all visitors and customers to adhere to our terms of service. You may not do anything:

• That violates our terms of service.
• That is fraudulent, misleading, or a misrepresentation.
• That is considered bait and switch.
• That we or the NetSys Interactive Inc. community deems unethical.
• That infringes on an applicable copyright, trademark, or trade name.
• That infringes or violates someone else's intellectual property rights.
• That is an attempt to register someone else's brand name, trademark, reserved name or derivative, offensive language, and generic names like a city, a category, or other overly broad name.
• That intentionally hurts the reputation of another customer unfairly.
• That provides a review of another customer, individual, or business without having ever done business or interacted with that customer as described in the review.
• That makes false or misleading statements about customer offers or services.
• That is discriminatory in any manner.
• That infringes or violates someone else's rights.
• That does or attempts to disable, over burden our system in any manner.
• That does or attempts to impair or corrupt any of our customer websites, our website functionality, services, emails, newsletters, or other systems we utilize.
• That does or attempts to send, upload, or distribute malicious code, malware, spyware in any form or manner.
• That attempts to gather information or gain access to data, services, system, or customer data that you do not have access to.
• That utilizes automated means to gather, connect to, or interact with our website or platforms without express prior written authorization from us.

We reserve the right to remove anything you do, register, share, or post in violation of these provisions. We may also take action against your account, for the reasons described throughout the terms of service. We may also suspend or disable your account for any reason we feel violates the spirit of these terms of service or community standards, even those not explicitly spelled out within the terms of service.

As a NetSys Interactive Inc. customer, the community relies on you to participate in it. If you see anything that you believe violates our terms of service, your rights, intellectual property rights, the spirit of the NetSys Interactive Inc. terms of service or community standards, we encourage you to report it to us or to post details in the appropriate area. (Please Note: at the time of drafting these terms and conditions, the customer forums are not yet live, but will be coming online in the near future as we roll out additional features.)
